1. ACCEPTANCE OF TERMS By accessing or using this website or engaging D&L Oilfield Supply LLC for services—including but not limited to energy equipment sourcing, logistics, big data services, and U.S. business formation consulting (collectively, the "Services")—you agree to be bound by these Terms of Service. If you do not agree, do not use our website or Services.
2. B2B NATURE OF SERVICES Our Services are strictly business-to-business (B2B). By using this site, you represent and warrant that you are acting on behalf of a registered business entity and have the legal authority to bind that entity to these Terms.
3. PROVISION OF GOODS AND SERVICES
- Equipment & Procurement: We act as a sourcing, manufacturing, and logistics partner. Any specifications for Oil Country Tubular Goods (OCTG), rigs, air equipment, or H₂S handling systems must be verified by the Buyer.
- Data Services: For ERP integrations and secure data housing, we utilize SOC 2 Type 2 certified AWS environments. However, the client retains sole responsibility for the legality and accuracy of the data transmitted.
- Consulting & Agency: American Energy Agent Services and U.S. Business Formation services are advisory and operational in nature. We are not a registered broker-dealer, certified public accounting firm, or a law firm. You are responsible for retaining your own tax and legal advisors.
4. LOGISTICS & SHIPPING OF RECORD When D&L Oilfield Supply acts as Shipper of Record (SOR) or coordinates global shipping, risk of loss and title to the goods shall pass to the Buyer according to the specific Incoterms agreed upon in the master service agreement or purchase order. We are not liable for delays caused by customs, port strikes, acts of God, or force majeure events.
5. DISCLAIMER OF WARRANTIES ALL GOODS, SERVICES, AND CONSULTATIONS PROVIDED VIA THIS WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT EQUIPMENT WILL PERFORM BEYOND THE ORIGINAL MANUFACTURER'S SPECIFICATIONS.

LIMITATION OF LIABILITY UNDER NO CIRCUMSTANCES SHALL D&L OILFIELD SUPPLY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, RIG DOWNTIME, LOST REVENUE, OR DATA LOSS) ARISING FROM YOUR USE OF OUR WEBSITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO D&L OILFIELD SUPPLY LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
7. GOVERNING LAW AND VENUE These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or our Services shall be instituted exclusively in the federal or state courts located in Harris County, Texas.
8. INDEMNIFICATION You agree to indemnify, defend, and hold harmless D&L Oilfield Supply LLC from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the equipment/services provided.
